Terms and Conditions
Effective Date: September 2026
These Terms & Conditions apply to all purchases made through the VST Australia website and govern the sale and supply of goods by VST Australia Pty Ltd.
1. DEFINITIONS
Australian Consumer Law means Schedule 2 of the Competition and Consumer Act 2010 (Cth) or equivalent State or Territory laws.
Customer means the individual, business, company or entity, jointly and severally if there is more than one, acquiring Goods from VST Australia Pty Ltd. A reference to "You" also means the Customer.
Goods means the goods offered for sale by VST Australia Pty Ltd to the Customer from time to time on the VST Australia website.
GST means Goods and Services Tax payable pursuant to the A New Tax System (Goods and Services Tax) Act 1999 (as amended from time to time).
Insolvency Event means the happening of any of the following events in relation to the Customer:
(a) being a company, the appointment of an administrator or controller (within the meaning of section 9 of the Corporations Act 2001 (Cth)) or receiver or provisional liquidator or liquidator over the relevant company, the directors of the relevant company resolving that the company be wound up, the making of an order of a Court that the company be wound up or the company being deregistered for any reason or anything analogous to or having a similar effect under the law of any relevant jurisdiction; or
(b) being an individual, the appointment of a trustee or controlling trustee (within the meaning of the Bankruptcy Act) over the affairs of the person, or the person being an insolvent under administration (as defined under the Corporations Act 2001 (Cth)).
Order means placing an order for one or more Goods.
Terms and Conditions means these Terms and Conditions, together with VST Australia's Privacy Policy, website terms and conditions, returns policy, customer information and any other documents referred to within these Terms and Conditions.
VST Australia means VST Australia Pty Ltd (ABN 61 169 510 365) of Unit 1, 60 Yellowbox Drive, Craigieburn VIC 3064, Australia.
2. BASIS OF CONTRACT
(a) VST Australia will supply the Goods to the Customer subject to these Terms and Conditions unless otherwise specifically agreed in writing between VST Australia and the Customer. These Terms and Conditions apply to the exclusion of any other agreement or conditions of purchase or other terms that the Customer may submit with an Order or otherwise to VST Australia.
(b) By browsing, accessing or using the VST Australia website, creating an account or placing an Order, you agree to be legally bound by these Terms and Conditions.
(c) VST Australia may update these Terms and Conditions from time to time. Any updated Terms and Conditions will be published on the VST Australia website.
3. ORDERING OF GOODS
(a) The Customer may order Goods from VST Australia directly through the VST Australia website.
(b) Customers who wish to place an Order will be shown the applicable price at checkout. The checkout price will be the price payable for the Goods, including GST where applicable and any applicable delivery costs.
(c) The Customer is solely responsible for providing accurate delivery details when placing an Order.
(d) The Customer must pay for the Order at the time of placing the Order. If the Customer selects a third-party payment provider, the Customer is solely responsible for complying with the terms and conditions of that payment provider.
(e) The Customer must pay each invoice in full before the Goods are released to the Customer or otherwise dispatched, unless VST Australia has agreed to credit terms with the Customer.
(f) VST Australia may reject any Order placed by a Customer for any reasonable reason, including if there has been an error in the price or description of the Goods or the Goods are no longer available. All Goods shown on the website are subject to availability and may be withdrawn at any time.
(g) If VST Australia rejects or cancels an Order following payment, the Customer will receive a refund of any monies paid for the cancelled Order, subject to any applicable rights under the Australian Consumer Law.
(h) Following placement of an Order, the Customer will receive an email notification from VST Australia confirming that the Order has been placed (Order Confirmation). The Order Confirmation amounts to confirmation that a contract exists between VST Australia and the Customer for the sale and purchase of the Goods, subject to these Terms and Conditions.
(i) If a Customer believes that they have made a mistake when placing an Order, they should immediately contact VST Australia and provide details of the Order in question. VST Australia will use reasonable endeavours to assist with any erroneous Orders but cannot guarantee that an Order can be changed or cancelled once processing or dispatch has commenced.
4. PRICE
(a) Unless otherwise stated, prices displayed on the VST Australia website are inclusive of GST for Australian customers.
(b) The Customer must pay to VST Australia any GST applicable to a taxable supply made by VST Australia under these Terms and Conditions.
(c) Delivery costs are payable by the Customer unless otherwise stated by VST Australia, including where an Order qualifies for free delivery under VST Australia's delivery policy.
5. PAYMENT
(a) All purchases must be paid for in full prior to shipment of Goods unless VST Australia has approved a trade account or other credit arrangement with the Customer.
(b) VST Australia may request identification or other information where reasonably required as a security precaution against fraudulent transactions or to verify an Order.
(c) VST Australia accepts payment methods made available through the VST Australia website from time to time. Payment processing may be undertaken by third-party payment providers and is subject to their applicable terms and conditions.
(d) VST Australia may cancel or suspend an Order where payment is declined, reversed, disputed or otherwise not received.
6. NO SET OFF
The Customer shall pay any monies owing to VST Australia under these Terms and Conditions in full and shall not set off such monies against debts or liabilities owed or allegedly owed by VST Australia to the Customer.
7. RISK, DELIVERY AND QUALITY OF SUPPLIES
(a) VST Australia may engage third-party delivery partners to deliver Orders. VST Australia is not responsible for the conduct of third-party delivery providers, except to the extent required by law.
(b) The Customer is solely responsible for:
(i) ensuring that someone is able to receive the Order at the nominated delivery location or collect it from any redirected location nominated by the delivery provider;
(ii) any delays in collecting the Order from a redirected or collection location; and
(iii) any applicable redirection, storage or additional delivery fees resulting from circumstances attributable to the Customer.
(c) Subject to the Australian Consumer Law, risk in the Goods for theft, damage or otherwise will pass to the Customer when the Goods are delivered to the delivery address nominated by the Customer or otherwise collected by the Customer or a person authorised by the Customer.
(d) To the extent permitted by law, VST Australia will not be liable for loss or damage suffered by the Customer as a result of late delivery or non-delivery caused by circumstances outside VST Australia's reasonable control.
(e) Any period or date for delivery of the Goods stated by VST Australia is an estimate only and is not a contractual commitment unless expressly agreed otherwise in writing.
(f) For overseas Orders, the Customer is solely responsible for any applicable import duties, taxes, customs charges or other charges imposed by the Customer's country. Customers should check these charges before placing an Order.
8. SUITABILITY OF SUPPLIES
(a) The Customer acknowledges and agrees that the representation of Goods on the VST Australia website may differ in visual appearance from the actual Goods, including differences in colours caused by photography, screen settings or other factors.
(b) The Customer acknowledges and agrees that, subject to any rights under the Australian Consumer Law, it relies upon its own knowledge, skill and judgment in selecting and ordering Goods from VST Australia.
(c) VST Australia will provide product information on its website to assist Customers in selecting Goods but does not warrant that a particular Good is suitable for a specific purpose unless expressly stated or required by law.
9. WARRANTIES, GUARANTEES & DEFECTIVE GOODS
(a) Goods must be used, handled and assembled with due care and in compliance with any instructions supplied with the Goods. Failure to do so may affect any applicable manufacturer's warranty.
(b) Any change or modification made by the Customer to Goods without the prior written consent of VST Australia or the manufacturer is at the Customer's sole risk and may affect any applicable warranty.
(c) If a Customer believes that a Good is defective, the Customer must contact VST Australia and follow any reasonable process VST Australia directs the Customer to follow to assess and resolve the defective Good claim, including providing evidence of the defect and/or returning the Good.
(d) Nothing in these Terms and Conditions excludes, restricts or modifies any rights or guarantees that cannot lawfully be excluded under the Australian Consumer Law.
(e) Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

10. CHANGE OF MIND
(a) In addition to any rights applicable to defective Goods under the Australian Consumer Law, if a Customer changes their mind in respect of an Order, VST Australia may accept Goods for return for a refund or credit at its discretion, provided that all applicable conditions of VST Australia's Returns Policy are satisfied.
(b) Unless otherwise stated by VST Australia, change-of-mind returns may only be accepted where:
(i) the Customer contacts VST Australia within 14 days of receiving the Goods;
(ii) the Goods were purchased at full price and were not identified as a sale, clearance or non-returnable item;
(iii) the Goods are unused and in the condition in which they were received, including all original packaging and tags where applicable;
(iv) the Goods are not identified as being excluded from change-of-mind returns; and
(v) return postage and the risk associated with returned Goods are the responsibility of the Customer.
(c) Customers must follow any return instructions provided by VST Australia from time to time.
(d) Once VST Australia has received the returned Goods and is satisfied with their condition, VST Australia will process any applicable refund or credit in accordance with its Returns Policy.
(e) The Customer may also have other rights under the Australian Consumer Law.
11. PERSONALISED OR CUSTOM GOODS
(a) VST Australia may offer personalised, customised or bespoke Goods from time to time. Any Order for personalised, customised or bespoke Goods may be final and may not be eligible for cancellation, return or exchange due to change of mind, except where required by law or where the Goods are defective.
(b) Customers should refer to the relevant product information and VST Australia website for further information regarding personalised, customised or bespoke Goods.
12. LIMITATION OF LIABILITY
(a) Subject to clause 9 and any State or Federal law:
(i) VST Australia will not be liable for any loss or damage suffered by the Customer where VST Australia has failed to meet an estimated delivery date or cancels or suspends the supply of Goods or an Order, except to the extent liability cannot lawfully be excluded.
(ii) To the maximum extent permitted by law, VST Australia will not be liable for any indirect, consequential or anticipated loss or damage incurred by the Customer arising from or in connection with the Customer's use of the VST Australia website, the contents of the VST Australia website, information provided by VST Australia or the purchase of Goods.
(b) Nothing in these Terms and Conditions is to be interpreted as excluding, restricting or modifying, or having the effect of excluding, restricting or modifying, the application of any State or Federal legislation, including the Australian Consumer Law, where such exclusion, restriction or modification would be unlawful.
13. INDEMNITY
The Customer will, to the extent permitted by law, indemnify VST Australia and VST Australia's officers, employees and agents from and against any loss, including reasonable legal costs and expenses, or liability suffered or incurred by any of them arising from a claim attributable to:
(a) a breach by the Customer of its obligations under these Terms and Conditions; or
(b) any wilful, unlawful or negligent act or omission of the Customer.
14. CANCELLATION
(a) VST Australia may cancel an Order immediately by notice in writing:
(i) if the Customer is in breach of any term of these Terms and Conditions and the Customer does not remedy the breach within five (5) days of receiving written notification;
(ii) if the Customer is in breach of any term of these Terms and Conditions which is incapable of being remedied; or
(iii) if an Insolvency Event occurs in relation to the Customer.
(b) Subject to any applicable State or Federal legislation, VST Australia may also cancel an Order where the Goods are unavailable, there has been an obvious error in pricing or description, or where VST Australia reasonably considers that it cannot fulfil the Order.
(c) Where an Order is cancelled after payment has been received, VST Australia will refund the amount paid for the cancelled Goods, subject to any rights or deductions permitted by law.
15. FORCE MAJEURE
(a) For the purposes of this clause, Force Majeure means any event beyond the reasonable control of the parties, including, but not limited to, fire, explosion, flood, strikes, war, pandemic, epidemic, act of God, act of State, labour unrest, riots, supply chain disruption, transportation disruption or failure of suppliers.
(b) If, as a direct or indirect result of a Force Majeure event, VST Australia is unable to perform its obligations under these Terms and Conditions, VST Australia will be released from those obligations to the extent of that inability and for the duration of the Force Majeure event. The Customer will not be entitled to compensation for any failure by VST Australia to perform its obligations caused by the Force Majeure event, except where otherwise required by law.
16. GST
(a) For the purposes of this clause, a word or expression that is capitalised and defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth) has the meaning given in that Act unless defined otherwise in these Terms and Conditions.
(b) Unless expressly stated otherwise, all amounts payable under these Terms and Conditions are exclusive of GST.
(c) If anything done under or in connection with these Terms and Conditions constitutes a Taxable Supply from one party to another in respect of which GST is payable, the consideration payable for the supply will be increased by the GST amount.
(d) A party is not required to make a payment for a Taxable Supply made under or in connection with these Terms and Conditions until it receives a valid Tax Invoice in relation to that supply.
17. WAIVER
Failure by VST Australia to enforce any of these Terms and Conditions in respect of any breach by the Customer shall not be construed as a waiver of any of VST Australia's rights or VST Australia's right to enforce the relevant term in respect of that breach or any future breach.
18. GOVERNING LAW
These Terms and Conditions shall be governed by and construed in accordance with the laws in force in Victoria, Australia, and the Customer submits to the jurisdiction of the courts of Victoria, Australia.
19. SEVERANCE
If any provision of these Terms and Conditions is contrary to any State or Federal legislation, including if it is illegal, void or unenforceable, that provision shall be read down to the extent necessary to become valid and enforceable or, if this is not possible, shall be deemed to be severed from these Terms and Conditions without affecting the remaining provisions.
20. ASSIGNMENT AND NOVATION
Any rights and benefits arising from these Terms and Conditions must not be assigned by the Customer without VST Australia's prior written consent.
Subject to applicable law, VST Australia may assign or novate these Terms and Conditions by providing notice to the Customer.
21. INTELLECTUAL PROPERTY
(a) All intellectual property, including without limitation trademarks, registered and unregistered designs, layouts, copyright, plans, drawings, designs, photographs, product information and text disclosed or made available to the Customer by VST Australia shall remain the property of VST Australia or its relevant licensors or suppliers.
(b) The Customer acknowledges that no intellectual property licence is granted by these Terms and Conditions except where expressly agreed in writing.
(c) The Customer is prohibited from reverse engineering, copying or reproducing any Goods or materials supplied by VST Australia where doing so would infringe the intellectual property rights of VST Australia or another rights holder.
(d) The Customer will immediately notify VST Australia of any actual or potential infringement of VST Australia's intellectual property rights which comes to the Customer's attention.
22. CONFIDENTIAL INFORMATION
The Customer shall treat all confidential information disclosed to it by or on behalf of VST Australia, or acquired by the Customer concerning VST Australia, its suppliers, products, pricing or business operations, as confidential information and shall not use or disclose such information except as required by law or with VST Australia's written consent.
23. CUSTOMER WARRANTY
The Customer warrants that it has acted reasonably and in good faith towards VST Australia in providing all information requested by VST Australia that may materially affect VST Australia's agreement to supply Goods to the Customer under these Terms and Conditions.

VST Australia Pty Ltd reserves the right to update these Terms and Conditions from time to time. The current version published on the VST Australia website will apply to Orders placed after the effective date of the updated Terms and Conditions.
